These terms govern your use of Counter, operated by Novaan Technologies ("we", "us"). By creating an account or using Counter, you agree to these terms and to our Privacy Policy. If you do not agree, do not use Counter.

1. Eligibility and your account

You must be at least 18 and authorised to enter these terms on behalf of your business. You are responsible for your account, for keeping login credentials secure, and for all activity by the staff logins you create. Notify us promptly of any unauthorised use.

2. Plans, evaluation, and billing

  • Signing up for the Counter plan creates a time-limited Counter workspace so you can evaluate Counter; no card is required to start.
  • Higher plans are offered on a demo-first, sales-led basis.
  • Paid fees are stated exclusive of applicable taxes, which you are responsible for.
  • Except where required by law, fees are non-refundable — the time-limited workspace is provided so you can evaluate Counter before paying.

3. Acceptable use

You agree not to:

  • use Counter for any unlawful purpose or to store unlawful content;
  • upload data you have no right to store or process;
  • attempt to disrupt, reverse engineer, probe, or gain unauthorised access to the service; or
  • resell or provide Counter to third parties except as permitted by us.

4. Your data and responsibilities

You retain ownership of the data you enter into Counter. You are responsible for its accuracy and legality, and you confirm you have a lawful basis and any consent required to store information about your customers and suppliers. You agree to indemnify and hold us harmless from claims arising out of your data or your use of Counter in breach of these terms.

5. GST, invoicing, and tax

Counter helps you create GST invoices and assemble GST return summaries (such as GSTR-1 and GSTR-3B) from your data. It is a software tool, not tax, legal, or accounting advice, and it does not file returns with the GST portal on your behalf. You are responsible for reviewing and verifying all invoices, tax computations, and returns before you rely on or file them. We are not liable for any tax, penalty, interest, or loss arising from your filings or from errors in the data you enter.

6. Availability

Counter is provided on an "as is" and "as available" basis. We do not commit to a specific uptime level except under a separately agreed enterprise arrangement, and we may perform maintenance from time to time. Where offered, offline billing is a best-effort convenience and depends on your device and connection.

7. Keep your own records

While we take reasonable measures to protect and back up data, you are responsible for maintaining your own copies of records you need to keep, including for statutory or tax purposes. Counter should not be your sole record-keeping system.

8. Warranties and liability

To the maximum extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose and merchantability. We are not liable for indirect, incidental, or consequential losses, or for lost profits, revenue, goodwill, or data. Our total liability arising out of or relating to Counter is limited to the fees you paid to us for the service in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.

9. Suspension and termination

We may suspend or terminate access for non-payment or for breach of these terms. You may stop using Counter at any time. On termination, we will provide a reasonable period to retrieve your data, after which it may be deleted in line with our Privacy Policy.

10. Changes to the service and terms

We may update Counterand these terms over time. Material changes to these terms will be reflected by the "Last updated" date above; continued use after changes means you accept them.

11. Governing law

These terms are governed by the laws of India, and the courts at [CITY], India have exclusive jurisdiction over any dispute, subject to applicable law.
